Standard Terms of Service

Document Terminology

“Client”, “You” and “Your” refers to you, the person accessing or using our applications or person we provide a service to; as such you are automatically bound to our terms of service. Should you be using our services on behalf of any other person, region, corporation or group such party shall be bound to our terms of service and shall be denoted by the aforementioned terminology.

“Ourselves”, “We”, “Our”, “Us” and “Zambroff Holdings (PTY) LTD” refer to Zambroff Holdings (PTY) LTD and/or any wholly owned subsidiary of Zambroff Holdings (PTY) LTD, including without limitation Zambroff ITOS (PTY) LTD, The Locus Group (PTY) LTD and Zambroff Property Group (PTY) LTD.

“Party” and “Parties” refers to both the Client and Ourselves.

“Payment” and “Compensation” refer to any form of imbursement for services provided.

“Application”, “Service”, “Software”, “Material” and “Website” refer to any article that may be sold, licensed, distributed or leased.

“Publicly Available Material” refers to any material or content that is made available to any member of the public without restriction of any type.

“Non-publicly Available Material” refers to any material that is intended to be restricted from use, accessing or viewing by any member of the general public.

“Affiliate” and “Partner” refers to any person or entity that we have granted a license to distribute, publicize, sell, lease or offer our services to further members of the public.

“Third Party” refers to any person or organization other that Ourselves and/or our Affiliates.

 

All terms refer to the offer, acceptance and/or consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings, use of services or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of South Africa. Any use of the above terminology or other words in the singular, plural, capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Copyright law protects the content and information provided through our applications, in the Republic of South Africa and/or any foreign entities. No portion of our applications may be reproduced and/or distributed by any means, or in any form other than as stated below.

 

All content and information published through our applications are copyrighted by Zambroff Holdings (PTY) LTD and/or licensed to Zambroff Holdings (PTY) LTD.

 

Publicly Available Material

You may print and download portions of material from our publicly available sources solely for you own non-commercial use. You are permitted to make one copy for your own non-commercial use, and one copy for backup purposes. Any other copying, redistribution, selling, letting, broadcasting and/or publication, or any similar duplication of materials is strictly prohibited. By accessing your right to make any copy of these materials you agree not to change and/or delete any proprietary notices from materials you use.

 

Non-publicly Available Material

You may not print, download, copy, distribute, sell, let, broadcast, publicize or keep any backups of material made available through any non-publicly available sources without prior written permission from us or a license to do so.

 

Material Available Through our Affiliates and/or Partners

Some materials made available through our partners and/or affiliates is the property of the respective affiliate or licensed to the affiliate by a third party. The onus remain on you to insure you always read all available legal documentation provided with any services you use and in the event of such legal documentation being unclear as to your legal right to use any material it shall be you responsibility to contact any third parties involved in supplying such materials.

 

In any way or form should services provided by us be used to support the availability of any materials that you choose to make use of you are required to contact us directly to clarify our license terms of such material.

 

Some brands and products appearing on our websites or through our applications are trademarks and/or registered trademarks of their respective holder(s).

 

Warranties and Disclaimers

Except as expressly provided otherwise in an agreement between you and us; all information, materials, applications and/or software are provided “as is” without warranty or conditions of any kind.

 

We have made every effort to ensure the accuracy of information and/or any content, reliability of any binary data and proper performance of our applications. We will not assume any responsibility for errors or omissions in afore mentioned materials which are referenced by and/or linked to our applications; by any means or form.

 

In no event shall we be liable for any incidental, indirect, consequential or any similar form of damages of any kind, or any damages whatsoever (including without limitation, those resulting from:

·          reliance on the materials and information presented:

·          loss of data or profits: and

·          any theory of liability,

arising out of or in connection with the use of information) whether or not we have been advised of the possibility of such damages.

 

Our applications could include technical and/or other inaccuracies. Changes are periodically made to the materials therein; however, we are not required to make any commitment to update such materials.

 

Affiliates and Partners

We work with partners in order to help us improve the services provided to you. Our partners help us extend our services through means of distribution, modification, sales, marketing and by making our services available to you.

 

If you are a partner you are required to make readily available these terms of service to your clients, users, members or personal. Where distribution of our services is provided you must in a clear and precise manner provide the user with an easily accessible means of accessing these terms of service.

In the case of such distribution being of a website, software or digital form, a legal terms document must be provided in conjunction with such media. A link to these terms of services must be supplied clearly and boldly in such documentation and may not be misleading in any form.

Any services you distribute that has the functionality or ability to collect or gather information regarding its user will require you to supply a privacy notice to such user. This includes without limitation any software, website or mobile apps.

 

Some services we provide to our affiliates may be supported by additional terms, including but not limited to a EULA, Confidentiality Agreement, Conditions of Use, License Agreement and/or Distribution Agreement. If you are an affiliate the onus is on you to insure you understand and conform with any additional terms, including insuring you have any copy of such terms readily available and up to date.

 

We reserve the right to terminate a License provided to an affiliate for whatsoever reason we may see fit, this includes without limitation:

·          if the affiliate has violated our terms of services or any terms regarding the services provided,

·          Violates the laws of the Republic of South Africa or laws of such country as to which such affiliate may make our services available,

·          Has brought our name into disrepute,

·          Has misled or misguide us or any users of our services, or

·          Does not practice the safe keeping of data as required by our privacy policy.

We may terminate such license with immediate effect without notice shall we choose to do so, or we may provide a merciful period to allow for issues to be resolved, we may also provide a notice period as to when and how the services provided may be terminated.

 

 

We reserve the right to amend this Terms of Service agreement as we feel the need to do so from time to time. Such amendments will be made available through our website and be deemed to be accepted by you as you continue to use the services provided by us. It will be your obligation to review this agreement at regular intervals and assure you agree to such agreement, if for whatsoever reason you do not agree to such agreement you reserve your right to discontinue your use of our services with immediate effect.
